These Terms of Use (the “Terms”) govern your access to and use of the websites, online store, accounts, and related services operated by MoldPro Inc., doing business as MoldPro Laboratory Plasticware / Labware Direct (collectively, “MoldPro,” “we,” “us,” or “our”), including labwaredirect.com and any related B2B ordering tools (the “Services”).

By accessing or using the Services, creating an account, placing an order, or authorizing a connection between our systems and QuickBooks Online, you agree to these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

These Terms are provided for operational clarity and compliance (including Intuit / QuickBooks Online developer requirements). They are not legal advice. Please have your counsel review them for your entity and jurisdictions.

2. B2B nature of the Services

The Services are intended primarily for business customers in the United States and Canada for commercial purchasing of laboratory plasticware and related products. They are not directed to consumers for household use, and they are not directed to children. You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to purchase on behalf of your organization.

Account approval, pricing, credit terms, tax treatment, and order acceptance are at our discretion and may require additional documentation (for example, tax-exemption or resale certificates).

3. Accounts and security

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Provide accurate company, contact, billing, and shipping information and keep it updated.
  • Notify us promptly of unauthorized access or suspected misuse.
  • We may suspend or terminate accounts that are inaccurate, inactive, abusive, fraudulent, or in breach of these Terms.

4. Orders, pricing, and payment

  • Product descriptions, availability, and prices may change without notice. We may correct errors and cancel or refuse orders that rely on obvious mistakes.
  • An order is an offer to buy. We accept orders when we confirm them or begin fulfillment. We may decline or cancel orders (for example, credit, inventory, shipping, compliance, or fraud concerns).
  • Quoted or displayed prices may exclude shipping, handling, duties, and applicable taxes unless stated otherwise.
  • Payment is due according to the method and terms shown at checkout or on your account (including purchase-order / credit terms if approved). Late or failed payment may result in holds, suspension, or collection activity as permitted by law.
  • Purchase order numbers and special instructions you provide are for reference; they do not override these Terms unless we agree in a signed writing.

5. Shipping, dropship, and risk of loss

  • Shipping methods, carriers, and charges depend on destination, product, and the options available at checkout or arranged by our staff.
  • If you request dropship or provide an alternate ship-to address, you are responsible for the accuracy of that address and for any special delivery requirements.
  • If you use your own carrier account, you are responsible for that account’s charges, insurance, and terms.
  • Title and risk of loss pass according to the shipping terms we specify for the shipment (or, if none are specified, when we deliver the goods to the carrier).
  • Delivery dates are estimates only.

6. Taxes and exemptions

You are responsible for applicable sales, use, GST/HST, and similar taxes unless you provide valid exemption documentation that we accept and that applies to the transaction. We may charge tax until exemption status is verified. You agree to indemnify us for taxes, interest, and penalties arising from inaccurate exemption claims or missing documentation.

7. Returns, shortages, and claims

Return eligibility, restocking, and time limits are as stated in our then-current return or customer-service policy, or as we communicate for a specific order. Report shortages, damage, or defects promptly and retain packaging as requested so we can investigate with carriers or suppliers. Unauthorized returns may be refused.

8. Acceptable use

You agree not to:

  • Use the Services for unlawful, fraudulent, or deceptive purposes;
  • Interfere with site security, scrape or harvest data without permission, or overload our systems;
  • Attempt to access another customer’s account or non-public areas of the Services;
  • Upload malware or harmful content;
  • Misrepresent your identity, company, tax status, or authority to purchase;
  • Resell our products in violation of applicable law or any distribution restrictions we communicate.

9. Intellectual property

The Services, including site design, text, graphics, logos, product information, and software, are owned by MoldPro or our licensors and are protected by intellectual property laws. You may use the Services for legitimate B2B purchasing only. You may not copy, modify, distribute, or create derivative works from our content except as allowed by these Terms or with our prior written consent.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that policy.

11. QuickBooks Online and other third-party services

We use third-party services to operate our business, including hosting, e-commerce (WooCommerce / WordPress), payment processors, shipping carriers, analytics, and accounting systems.

QuickBooks Online (Intuit). For internal business operations, we may connect our store and related tools to QuickBooks Online (“QBO”) using Intuit’s APIs so that authorized staff can create or update invoices and related accounting records from order data. When that connection is authorized:

  • Order, customer, billing, shipping, tax, payment-term, and related business information may be transmitted to Intuit / QBO as needed to create or maintain invoices and accounting records;
  • Use of QBO is also subject to Intuit’s terms and policies;
  • The QBO connection is for MoldPro’s internal accounting use and is not a public app marketplace product offered to unrelated third parties through our site;
  • You may disconnect QBO from our admin tools or from Intuit’s account settings; disconnecting stops new syncs from our side but does not delete invoices or records already stored in QBO;
  • We are not responsible for Intuit’s availability, QBO configuration, user permissions inside QBO, or data once it resides in your (or our) QBO company file beyond our obligations under applicable law and our Privacy Policy.

Other third-party sites linked from the Services (carriers, payment pages, etc.) are governed by their own terms and privacy policies.

12. Disclaimers

THE SERVICES AND ALL INFORMATION, PRODUCTS, AND MATERIALS MADE AVAILABLE THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT PRODUCT INFORMATION IS COMPLETE OR CURRENT AT ALL TIMES.

Product suitability for a particular laboratory, regulatory, or end-use application is your responsibility. Always verify specifications and applicable requirements before use.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOLDPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCTS GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless MoldPro and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your orders or resale of products; (c) your breach of these Terms; (d) your violation of law; or (e) inaccurate account, tax-exemption, or shipping information you provide.

15. Suspension and termination

We may suspend or terminate access to the Services at any time for breach of these Terms, unlawful activity, nonpayment, credit risk, or to protect the Services or other customers. You may stop using the Services at any time. Provisions that by their nature should survive (including payment obligations, IP, disclaimers, limitations of liability, and indemnification) will survive termination.

16. Export and compliance

You are responsible for complying with applicable export, re-export, sanctions, and import laws. You represent that you are not prohibited from receiving products or services under U.S. or other applicable law.

17. Electronic communications

You consent to receive electronic communications from us related to your account, orders, and these Terms (including by email or site notices). Such communications satisfy any legal requirement that communications be in writing.

18. Changes to the Services or Terms

We may update the Services and these Terms from time to time. The “Last updated” date will change when we revise the Terms. Material changes may be posted on the site or communicated by email where appropriate. Continued use of the Services after an update constitutes acceptance of the revised Terms, to the extent permitted by law. If you do not agree, stop using the Services.

19. Governing law and disputes

These Terms are governed by the laws of the State of New Hampshire, United States, without regard to conflict-of-law rules. Subject to applicable consumer-protection laws that cannot be waived, you agree to the exclusive jurisdiction of the state and federal courts located in New Hampshire for disputes arising out of or relating to these Terms or the Services. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Miscellaneous

  • These Terms, together with any order confirmation, credit application, and policies we expressly incorporate (including the Privacy Policy), are the entire agreement between you and us regarding the Services and supersede prior conflicting website terms on the same subject.
  • If a provision is unenforceable, the remainder stays in effect.
  • Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
